These Terms of Service ("Terms") govern your use of the Libertas AI Solutions ("Libertas," "we," "us," or "our") website and the automation and AI services we provide. By using our website or engaging us, you agree to these Terms.
1. Our services
Libertas designs, builds, deploys, and supports custom workflow automations and AI agents for small and mid-sized businesses. The specific scope, deliverables, timeline, and fees for any project are defined in a written proposal or statement of work ("Engagement") agreed between you and us. If anything in an Engagement conflicts with these Terms, the Engagement governs for that project.
2. Engagements, proposals & fees
- Each Engagement begins with a discovery process and a written proposal that includes transparent, fixed pricing for the defined scope.
- Fees, payment schedule, and any ongoing support terms are set out in the applicable Engagement.
- Work outside the agreed scope ("change requests") may require a revised proposal before we proceed.
3. Your responsibilities
- Provide accurate information and timely access to the people, systems, and materials we need to do the work.
- Ensure you have the rights and permissions necessary for us to integrate with your tools and process your data.
- Use the systems we deliver in compliance with applicable laws and the terms of any third-party services they connect to.
4. Ownership & intellectual property
We build for ownership. Upon full payment for an Engagement:
- You own your deliverables. The automations, agent configurations, and custom work product created specifically for you, along with your data and models, are yours.
- We retain our toolkit. We keep ownership of our pre-existing methods, frameworks, templates, and general know-how, and may reuse them across engagements.
- Third-party components remain subject to their own licenses, which we'll identify where relevant.
5. Confidentiality
Each party agrees to protect the other's confidential information and to use it only to perform under the Engagement. This obligation continues after the Engagement ends. We monitor and log agent activity for transparency and support, as described in our Privacy Policy.
6. Warranties & disclaimers
We perform our services in a professional and workmanlike manner. Except as expressly stated in an Engagement, our website and services are provided "as is" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AI systems can produce errors or unexpected output; you are responsible for reviewing results before relying on them for business decisions.
7. Limitation of liability
To the maximum extent permitted by law, Libertas will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability arising out of or relating to an Engagement will not exceed the fees you paid us for that Engagement.
8. Term & termination
No lock-in is a principle, not just a clause. Either party may end an Engagement as set out in its terms. On termination, you keep your data, models, and delivered work product (subject to payment for work performed), and we'll provide a reasonable handoff so you can continue to operate independently.
9. Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The parties agree that the state and federal courts located in Florida will have jurisdiction over any dispute arising out of these Terms, unless an Engagement specifies otherwise.
10. Changes to these Terms
We may update these Terms from time to time. When we do, we'll revise the "Last updated" date above. Continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.
